  1. About this Privacy Policy

At Buildxact Australia Pty Limited ACN 630 502 751 (Buildxact, we, us or our), your privacy is paramount to us.  This Privacy Policy has been designed to ensure we clearly communicate to you how we treat your Personal Information (as defined below) .  We encourage you to read this Privacy Policy carefully.  It will help you make informed decisions about sharing your Personal Information with us.  If you wish to make any inquiries regarding this Privacy Policy, you should contact our Privacy Officer in any of the ways specified in paragraph 15
  2. Buildxact provides an easy-to-use, cloud-based solution for estimating and managing your jobs from the measurement takeoff to the final invoice.  You can access the Buildxact Services through our website www.buildxact.com, through applications on devices, through APIs, and through third parties.  
  3. Except where separately defined or if the context requires otherwise, some of the defined terms in this Privacy Policy have the same meaning as in our Terms of Service (or relevant terms applicable to the Home Owner Portal, for users who have a Home Owner Account), which users of the Buildxact Services should read together with this Privacy Policy.  By accessing our Buildxact Services or otherwise providing Personal Information to us, you consent to the terms of this Privacy Policy. 
  4. From time to time, Buildxact may be related to other companies and entities (related entities).  This Privacy Policy applies to the use of your Personal Information by us and by those related entities.  A reference in this Privacy Policy to Buildxact, we, us or our is also a reference to those related entities. 
  1. Personal Information 
  1. Personal Information” is information or an opinion, whether true or not, and whether recorded in a material form or not, about an identified individual or an individual who is reasonably identifiable.  
  2. The Buildxact Services involves the storage of Data about a company or individual and activities such as projects and tasks.  That Data can include Personal Information, such as an individual’s name, email address, telephone number, address and company. 
  1. What Personal Information do we collect and hold? 
  1. The types of Personal Information we may collect about an individual will depend upon the nature of our interaction with them and the products and services (if any) requested from us.  Personal Information that we collect may include (but is not limited to) the following: 
  2. about Clients and Users of the Buildxact Services (these include builders, dealers and suppliers, and home owners), including Clients trialling our Buildxact Services: name, address, contact details, company details, information about your use of and interactions with the Buildxact Services, the Data you store in or generate from the use of the Buildxact Services, information about home owners’ projects from when you start planning your renovation or build to the ongoing management of your home, information about the payments you make to us (but not including full credit card information, which is processed by our third party credit card payment processor as set out in this Privacy Policy), geographical location, Data sourced from Third Party Applications (such as Xero and Hazardco) that you choose to integrate with the Buildxact Services using the functionality within the Buildxact Services, any other information you give to us when you purchase or register for our products, and the further information set out in paragraph 3.1(f) 
  3. about customers of the Clients and Users of the Buildxact Services, when that information is entered by those Clients and Users (see paragraphs 6.8 to 6.12): contact details (phone number and email) to allow our Clients to use the Buildxact Services to manage their jobs and estimates with you, information about the job being entered, estimated and managed, job plans, material estimates, and quotes, and the further information set out in paragraph 3.1(f) 
  4. about potential Clients of the Buildxact Services: name, contact details, the nature of your enquiry (if any) and your interactions with us, and the further information set out in paragraph 3.1(f) 
  5. about our suppliers and potential suppliers (including contractors and subcontractors) and their representatives, directors, partners, proprietors and shareholders in relation to providing goods and services to us: generally information to assess your business (such as its products, pricing, and key personnel); and business contact information (names, roles, contact details) to communicate with you, arrange and administer your provision of goods and services to us 
  6. about job applicants if you apply for a position with us: occupation and employment details including employment status and any previous work experience, and information from or in connection with your resume or job application (including information from referees and to verify your qualifications, work and academic history), and 
  7. about any person who comes into contact with Buildxact or the Buildxact Services: information about your contact with us, including all user interactions with our Buildxact Services, Websites, and other technologies, photographs and/or images from camera footage such as CCTV cameras in our premises, and information from social media accounts and profiles, and other publicly available sources. 
  1. How and when do we collect Personal Information? 
  1. We collect your Personal Information to allow us to conduct our business functions, to provide, market and sell our products and services and for the specified purposes set out in paragraph 6.  In some circumstances the collection of Personal Information may be required by law.  
  1. We may collect your Personal Information in the course of providing you with goods or services, or: 
  1. when you use or buy our products or services, or download and use trial products or services, including the Buildxact Services  
  1. when you provide us, or you offer or apply to supply us, with goods or services 
  1. when you provide information to us in any way (including by accepting website cookies, completing a form, disclosing information over the phone or via email, or providing us a business card) 
  1. when you request information about us, our products or our services  
  1. when you provide feedback to us  
  1. when you visit or fill in a form on our Website (see paragraph 5)  
  1. when you register for or use an account on our Website 
  1. when you visit premises from which we operate 
  1. when you (or your employer) provide that information to us in the course of conducting or administering our relationship with you, or when you are carrying out activities in connection with our business operations 
  1. when you apply for an Account 
  1. when you submit a job application to us 
  1. when you otherwise contact us by telephone, fax, email, social media, post or in person, or 
  1. where we are otherwise required or authorised by law to do so. 
  1. Generally, when providing our products and services, dealing with our personnel, or obtaining goods and services from our service providers, suppliers or contractors, we collect Personal Information directly from the relevant individual where reasonable and practicable. 
  1. We may also collect Personal Information about you from third parties and other sources such as: 
  1. your builder (if you are a homeowner or customer of the builder and they are using the Buildxact Services in respect of your job or potential job) 
  1. your dealers or suppliers (if you are a builder and you choose to link your Account to suppliers using the functionality within the Buildxact Services) 
  1. providers of any Third-Party Applications that you (as a Client or User) choose to integrate with using the functionality within the Buildxact Services 
  1. your nominated representatives (e.g. spouse, accountant, power of attorney, brokers and other professional advisors) 
  1. publicly available sources of information, or 
  1. related entities, companies and businesses of Buildxact, 

but we will only collect your Personal Information in this way if it is unreasonable or impracticable to collect this information directly from you or if we are otherwise permitted to do so.  

  1. If the Personal Information we collect includes sensitive information, including health information, we will ask for your consent to collect sensitive information, unless the law allows us to collect it without your consent. 
  1. Where we engage with you multiple times over a short period in relation to the same matter, we may not provide you with a separate notice about privacy each time we engage with you. 
  1. If you choose not to provide your Personal Information to us for the purposes set out in this Privacy Policy, or if we do not or are unable to collect the Personal Information we require, we may not be able to provide you with requested information, products or services, or to effectively conduct our relationship with you.  
  1. Information collected via our Website and the Buildxact Services 
  1. Personal Information may be collected by us and by our third-party service providers who assist us in operating our website at https://www.buildxact.com, including its subdomains and any other website we operate from time to time (collectively the Website). 
  1. We may use various technological methods from time to time to track the visiting patterns of individuals accessing our Website or using our applications, including but not limited to the methods set out in this paragraph 5

Logging your interactions with Buildxact Services 

  1. When you use the Buildxact Services, we automatically record information from your device, including: 
  1. your Device’s IP address 
  1. device screen size and browser type 
  1. geographic location 
  1. system configuration information 
  1. search terms and pages visited 
  1. date & time stamps associated with transactions, and 
  1. the webpage visited before you came to our Website (if applicable). 

Tracking your usage patterns 

  1. We may use internal and external analytic and product platforms to better understand usage patterns on our Website and the Buildxact Services, so we can improve the design and use ability of our products and services and at times to offer additional services. 

Session recording software 

  1. We use session recording and replay software tools, such as Fullstory, to capture and record information about a user’s interactions on our Website and other Buildxact Services, including information such as session replays, mouse movements, clicks, scrolls, typing, swiping, tapping, and other interaction data on our Website and other Buildxact Services.  This helps us understand user behavior, identify useability issues, debug errors, support customers, optimise pages, enhance the user experience, and improve our products.   
  2. We do not generally use this information to identify individuals, though such session information may become Personal Information, for example, if we identify a particular session in the context of a customer support call.

Google Analytics 

  1. We use Google Analytics to help analyse how you use our Website.  Google Analytics generates statistical and other information about website use by means of cookies, which are stored on users’ computers.  The information generated is used to create reports about the use of our Website.  Google will store this information.

Click Stream Data 

  1. When you read, browse or download information from our Website, or otherwise use our Website or the Buildxact Services, we may also automatically collect information such as the date, time and duration of a visit, the pages accessed, the IP address of your computer, and any information downloaded.  This information may be used for purposes including statistical, reporting and website administration, maintenance and improvement purposes.  

Cookies 

  1. Our Website and the Buildxact Services may use ‘cookies’ from time to time.  Cookies are small text files that are transferred to a user’s computer hard drive by a website for the purpose of storing information about a user’s identity, browser type or website visiting patterns.  Cookies may be used on our Website to monitor web traffic, for example the time of visit, pages visited and some system information about the type of computer being used.  We use this information to enhance the content and services offered on our Website. 
  1. Cookies are sometimes also used to collect information about what pages you visit and the type of software you are using.  If you access our Website or click-through to our Website from a link in an email we send you, a cookie may be downloaded onto your computer’s hard drive. 
  1. We may use “persistent cookies” to save your registration ID and login passwords for future logins to the Buildxact Services.  We may use “session ID cookies” to enable certain features of the Buildxact Services, to better understand how you interact with the Buildxact Services.   
  1. Third party cookies from the following service providers are also used by the Buildxact Services: 
  1. Google Analytics – Website interaction tracking (see above), and 
  1. Receptive – to track users and to remember who is logging in. 
  1. Cookies may also be used for other purposes on our Website.  
  1. You can configure your browser to accept all cookies, reject all cookies, or notify you when a cookie is sent.  Each browser is different, so check the “Help” menu of your browser to learn how to change your cookie preferences. 
  1. If you disable the use of cookies on your web browser or remove or reject specific cookies from our Website or linked sites then you may not be able to gain access to all of the content and facilities in those websites, and it may mean we are unable to provide you with some or all of the Buildxact Services. 

Third party content (e.g. social media links) 

  1. Some of the content on our Website and Buildxact Services may include applications made available by third parties, such as social media buttons or links that allow you to share content or links to our Website through the relevant third-party platforms.  These third-party applications themselves may facilitate collection of information by those third parties, through your interaction with the applications and sometimes even if you do not interact directly with them.  We are not responsible for the technical operation of these applications or the collection and use practices of the relevant third parties.  Please visit the relevant third-party websites to understand their privacy practices and options they may make available to you in relation to their collection of your Personal Information.  
  1. How do we use your Personal Information? 
  1. We use the Personal Information we collect about you for our business functions and activities, in order to provide the Buildxact Services and operate our business efficiently, and to market our products and services for the benefit of our customers and potential customers. 

Generally 

  1. We may collect, hold and use your Personal Information: 
  1. to provide the Buildxact Services 
  1. for Clients and Users, to establish and maintain your relationship as a customer of Buildxact 
  1. to verify your identity and communicate with you  
  1. to enable us to provide you with requested information, training, products or services 
  1. to otherwise assist Clients and Users by providing them with information and support 
  1. to collect and process payments 
  1. to help us to manage and enhance products or services we provide to you 
  1. to help us to manage and enhance goods and services we procure from our suppliers and subcontractors 
  1. to personalise and customise your experiences on our Website and the Buildxact Services 
  1. to manage and administer any account you may hold with us 
  1. to promote and market our products and services to you 
  1. to provide you with information that we believe may be of interest to you or that you may be interested in receiving, including advertising material, regarding us, our related entities, and our business partners 
  1. to conduct research for the purposes of improving existing products or services or creating new products or services 
  1. to help us research the needs of our customers to enable us to market our products and services with a better understanding of your needs and the needs of customers generally  
  1. to protect you and us from scams and fraud 
  1. to provide for the safety and security of workers and onsite visitors 
  1. to help us manage our business operations 
  1. for business support purposes including maintenance, backup and audit 
  1. to process any job application submitted by you 
  1. to respond to any queries or complaints you may have, or 
  1. to comply with our statutory and legal obligations. 
  1. We may aggregate Personal Information for reporting, statistical and analysis purposes, and for business, product and service improvement purposes.  This allows us to better inform ourselves and anticipate our customers’ preferences and requirements, and to monitor and improve the effectiveness of our business, products and services.  We will not share your Personal Information in such aggregated data with any third party unless we have your consent to do so. 
  1. We may also de-identify information for inclusion in such aggregated databases or reports, and we may make certain automatically-collected, aggregated, or otherwise de-identified information available to third parties for various purposes, including: (i) compliance with various reporting obligations; (ii) for business or marketing purposes; (iii) for industry research or benchmarking; or (iv) anonymous data analytics and reporting; and (v) to assist such parties in understanding our Clients’, Users’ and Website visitors’ interests, habits, and usage patterns for certain programs, content, services, and/or functionality available through the Buildxact Services.  

Payment card details 

  1. Buildxact’s credit card payment processor is Stripe, who are certified to PCI Service Provider Level 1 standards.  You should refer to Stripe’s Privacy Policy (https://stripe.com/au/privacy) for more information. 
  1. Buildxact never requests sensitive credit card data from our Clients.  All payment card related data is sent direct from the Client’s browser to Stripe’s API over encrypted connections. 

Use of your Gmail Data 

  1. If you provide Buildxact access to your Gmail data, Buildxact’s use of that data will be subject to the following restrictions: 
  1. Buildxact will only use access to read, write, modify or control Gmail message bodies (including attachments), metadata, headers, and settings to provide a web email client that allows users to compose, send, read, and process emails and will not transfer this Gmail data to others unless doing so is necessary to provide and improve these features, comply with applicable law, or as part of a merger, acquisition, or sale of assets. 
  1. Buildxact will not use this Gmail data for serving advertisements. 
  1. Buildxact will not allow humans (i.e. Buildxact’s personnel) to read this data unless:  
  1. we have your affirmative agreement for specific messages 
  1. doing so is necessary for security purposes such as investigating abuse 
  1. to comply with applicable law, or  
  1. for Buildxact’s internal operations but even then only when the data has been aggregated and anonymized. 

Client’s Data in the Buildxact Services 

  1. The following paragraphs 6.9 to 6.12 address Personal Information stored or processed by a Client or User as Data about their own customers and jobs via the Buildxact Services.  These paragraphs do not apply to the information collected directly by Buildxact about a Client or User in order to set up and provide their Account via the Buildxact Services, or to the Personal Information that Buildxact directly collects about its Clients and Users’ use of the Buildxact Services and their Accounts, for which Buildxact is a data controller for the purposes of EU Law. 
  1. Subject to paragraph 6.8, Buildxact does not own, control or direct the use of any of the Personal Information stored or processed by a Client or User as Data via the Buildxact Services.  Only the Client or Users are entitled to access, retrieve and direct the use of such Personal Information.  Buildxact is largely unaware of what specific Personal Information is actually being stored or made available by a Client or User to the Buildxact Services and does not directly access such Personal Information except as authorised by the Client, or as necessary to provide Buildxact Services to the Client and its Users. 
  1. Because Buildxact does not directly collect or determine the use of any such Personal Information contained in the Data in the Buildxact Services and because it does not determine the purposes for which such Personal Information is collected, the means of collecting such Personal Information, or the uses of such Personal Information, Buildxact is not acting in the capacity of data controller in terms of the European Union’s Directive 95/46/EC on data privacy or the European Data Protection Regulation (EU Law) and does not have the associated responsibilities of a controller under EU Law in respect of such Data stored in the Buildxact Services.  Buildxact should be considered only as a processor on behalf of its Clients and Users as to any such Data in the Buildxact Services containing Personal Information that is subject to the requirements of EU Law. Except as provided in this Privacy Policy, Buildxact does not independently cause Data containing Personal Information stored in connection with the Buildxact Services to be transferred or otherwise made available to third parties, except to third party subcontractors who may process such Data on behalf of Buildxact in connection with Buildxact’s provision of the Buildxact Services to Clients.  Such actions to transfer or make such Data available to third parties are performed or authorised only by the applicable Client or User. 
  1. The Client or the User is the data controller under the EU Law for any such Data containing Personal Information, meaning that such party controls the manner such Data is collected and used as well as the determination of the purposes and means of the processing of such Data. 
  1. Buildxact is not responsible for the content of the Personal Information contained in such Data or other information stored on its servers (or its subcontractors’ servers) at the discretion of the Client or User and Buildxact is not responsible for the manner in which the Client or User collects, handles disclosure, distributes or otherwise processes such information. 

Other 

  1. We reserve the right at all times to monitor, review, retain, and/or disclose any information as necessary to satisfy any applicable law, but we have no obligation to monitor the use of the Website or to retain the content of any user session. 
  1. You consent to us using your Personal Information in the above ways and as set out in this Privacy Policy.  
  1. We may otherwise collect, use or disclose your Personal Information where the collection, use or disclosure is: 
  1. in accordance with this Privacy Policy or any agreement you enter into with us, or 
  1. required or authorised by law, including without limitation the Australian Privacy Principles under the Privacy Act 1988 (Cth). 
  1. When do we disclose your Personal Information? 
  1. Buildxact may disclose, or provide access to, your Personal Information to third parties in connection with the purposes described in paragraph 6.  Depending on the circumstances and the nature of your engagement with us, we may disclose your Personal Information to our related entities, to third parties that provide products and services to us or through us, or to other third parties (such as your referee(s) in connection with a job application you have submitted).  
  1. We may also disclose your Personal Information to: 
  1. Clients, i.e. the relevant Professionals that a home owner expressly connects with their Home Owner Account through the options available to the home owner in the Buildxact Services 
  1. any Third Party Applications, dealers/suppliers or other persons that our Clients and their Users actively choose to integrate with or share information about any jobs with via the features and functionality made available in the Buildxact Services, in respect of any Personal Information those Clients have entered into and/or control in the Buildxact Services 
  1. any of Buildxact’s internal divisions, business units or departments 
  1. your nominated representatives 
  1. other organisations or individuals who assist us in providing products and services to you 
  1. professional service providers and advisors who perform functions on our behalf, such as lawyers 
  1. representatives, agents or contractors who are appointed by us in the ordinary operation of our business to assist us in providing goods or services or administering our business (such as for data storage or processing, printing, mailing, marketing, planning and product or service development) 
  1. our banks, lenders, valuers, insurers, brokers, auditors, business consultants and IT service providers who provide us services or advise us in the ordinary course of our business, and not for their own purposes, and 
  1. Government, regulatory authorities and other organisations as required or authorised by law. 
  1. Buildxact encourages our Clients, as users of the product to co-operatively engage with other Clients in various ways to enhance our Buildxact Services.  This includes specifically suggesting and voting on enhancements via the Receptive tool which is embedded in the Buildxact application.  If a Buildxact User chooses to participate by posting suggestions using this facility, then their posts and their name will be exposed to other Buildxact Users.  If you do not wish this to happen, then do not create posts with this tool.  Please do not provide any other Personal Information within your posts.  The Receptive privacy policy is at https://www.receptive.io/policies/datasecurityprivacy.html.  
  1. We may also disclose your Personal Information to our Website host or software application providers in certain limited circumstances, for example when our Website experiences a technical problem or to ensure that it operates in an effective and secure manner. 
  1. As we continue to develop our business, we may buy, merge or partner with other companies or organisations, and in so doing, acquire customer Personal Information.  In such transactions, Personal Information may be among the transferred assets.  Similarly, in the event that a portion or substantially all of our business or assets are sold or transferred to a third party, we may also disclose certain information including your Personal Information to a purchaser or potential purchaser in connection with the sale or potential sale of us, our business or any of our assets, including in insolvency. 
  1. Overseas disclosures 
  1. Some of your Personal Information may be disclosed, transferred, stored, processed or used overseas, outside of the country or region where you are located, by us, or by our third party service providers.  This may happen if:  
  1. our offices or related entities are overseas (we currently have offices in Australia, the USA, UK and Canada) 
  1. our related entities provide shared services to the Buildxact group from overseas 
  1. we outsource certain activities overseas  
  1. transactions, information, services or products have an overseas connection, or 
  1. our computer systems including IT servers are located overseas.   
  1. By using the Buildxact Services or otherwise providing us with your Personal Information, you consent to the collection, use, storage, and processing of your Personal Information outside of the country or region where you are located, as set out in this Privacy Policy.  If you do not want your Personal Information to be transferred to a server located in Australia or at other secure sites nominated by Buildxact from time to time, you should not provide Buildxact with your Personal Information or use the Buildxact Services. 
  1. In particular, your Personal Information may be disclosed for the purposes set out in this Privacy Policy to parties located in Australia (where Data held within the Buildxact Services is stored on Microsoft Azure cloud services – see https://www.microsoft.com/en-us/trust-center/privacy) and the USA (from where certain shared business functions are provided by our related entities), and to such other countries in which those parties or their, or our, computer systems may be located from time to time, where it may be used for the purposes described in this Privacy Policy. 
  1. Other uses and disclosures 
  1. We may collect, use and disclose your Personal Information for other lawful purposes not listed in this Privacy Policy.  If we do so, we will make it known to you at the time we collect or use your Personal Information.   
  1. Marketing  
  1. If you are a Client, potential Client, or User of the Buildxact Services, you consent to us using your Personal Information for sending you information, including promotional material, about us or our products and services, as well as the products and services of our related entities and third parties, now and in the future.  You also consent to us sending you such information by means of direct mail, email, SMS and MMS messages.   
  1. If you do not want to receive marketing information from us, you can unsubscribe in any of the following ways:  
  1. clicking on the ‘Unsubscribe’ or subscription preferences link in a direct marketing email that you have received from us 
  1. logging into your Account and editing your communication preferences, or 
  1. contacting us using the contact details specified in paragraph 15
  1. Storage and security of Personal Information held by us 
  1. We aim to keep your Personal Information secure and to protect it from unauthorised access, modification or disclosure.  Any Personal Information that is collected via our Website or Buildxact Services or which is held on our computer systems is protected by safeguards including physical, technical (firewalls, SSL encryption etc) and procedural methods.   
  1. However, the Internet is not always a secure method of transmitting information.  Transmission of Personal Information to us over the Internet is at your own risk, and you should only enter Personal Information to the Buildxact Services within a secure environment. 
  1. We will take reasonable steps to advise you at the first reasonable opportunity upon discovering or being advised of a security breach where your Personal Information is accessed by any unauthorised persons. 
  1. If we find that we no longer require or have no further need for your Personal Information we may de-identify it or remove it from our systems and destroy all record of it.   
  1. Your rights over your Personal Information 
  1. You are generally entitled to access Personal Information that we hold about you.  If you request access to your Personal Information, in ordinary circumstances we will give you full access to your Personal Information.  Depending on the nature of the request, Buildxact may charge for providing access to this information, however such charge will not be excessive.  However, there may be some legal or administrative reasons to deny access.  If we refuse your request to access your Personal Information, we will provide you with reasons for the refusal where we are required by law to give those reasons. 
  1. Clients and Users can access and correct some of your Personal Information through the Buildxact Services by logging into your Account and updating or editing your profile at any time.  A request for access can be made by contacting our Privacy Officer in any of the ways specified in paragraph 15.  We will deal with all bona fide requests for access to Personal Information as quickly as possible. 
  1. If the request comes from a customer of one of our Clients whose Personal Information may be included in the Data entered by a Client or User, we may refer your request to the relevant Client to address in the first instance. 
  1. We take all reasonable steps to ensure that any Personal Information we collect and use is accurate, complete and up-to-date.  To assist us in this, you need to provide true, accurate, current and complete information about yourself as requested, and properly update the information provided to us to keep it true, accurate, current and complete.   
  1. Please contact us in any of the ways specified in paragraph 15 if you believe that the Personal Information is inaccurate, incomplete or out of date, and we will use all reasonable efforts to correct the information. 
  1. It would assist us to ensure we properly understand your request, and allow us to respond more promptly, if requests are made in writing and include as much detail as possible. 
  1. Clients and home owners are also able to delete their Buildxact Account and associated Data by using the “Account Deletion” feature within the Buildxact Services.  For instructions on how to delete your Account, please follow this link
  1. How do we deal with complaints about privacy? 
  1.
